We are currently looking for a qualified Managing Sr. Counsel to join our Legal Team at our office located in San Francisco, CA. Alternatively, the position can be based in Redwood City, CA.

This position is responsible to serve as a specialist providing legal advice to various members of management across the Company in any or all of the following areas: software licensing, litigation, intellectual property, employment law, employment benefits, corporate law, consumer law, real estate law, competition law or mergers and acquisitions. Must possess and apply an in-depth understanding of an IT business and related P&L/balance sheets. Ability to perform risk assessments and advise accordingly.

Key Responsibilities:

. Strong working knowledge of required in specific legal subject matter.
. Establish strong client relationships across CA's businesses and regularly attends management meetings and advises the management of function, country or region.
. Determine appropriate legal course for Company in day to day issues.

If practice area/primary emphasis is software licensing or services:
. Work directly with senior management to provide legal advice on issues related to software licensing.
. Work with the sales and services organizations in the negotiations of terms and conditions of software licenses, partner documentation, services agreements and related agreements with Company customers.
. Serve as a subject matter expert within the Company in the area of software licensing and related activities and as a resource to help resolve complex software licensing issues that affect the Company's internal and external relations.
. Review and revise software licenses, partner documentation, services agreements and related agreements.
. Serve as a mentor to Legal Counsels and paralegals on licensing issues.
. Approve non-standard software licensing terms
. Determine litigation strategy of case under his/her management.

If practice area/primary emphasis is litigation:
. Manage Company's litigation matters, including lawsuits and administrative actions.
. Serve as a subject matter expert within the Company in the area of litigation and as a resource to help resolve complex litigation issues.
. Work with outside and in-house counsel to advise and represent the Company in disputes relating to contractual agreements and commercial, intellectual property, employment and collections issues.
. Actively participate in all facets of litigation (discovery, witness preparation, briefing, expert discovery and trial); negotiate settlement agreements; participate in mediations; and oversee responses to third party subpoenas.
. Advise senior management on risks involved in disputes and litigations.

If practice area/primary emphasis is intellectual property:
. Counsel various Company personnel on intellectual property issues.
. Serve as a subject matter expert within the Company in the area of intellectual property and as a resource to help resolve complex issues.
. Manage Company's worldwide trademark and copyright programs.
. Represent Company in intellectual property disputes.
. Retain and manage outside counsel responsible for handling intellectual property issues and disputes.
. Enforce Company's intellectual property rights.

If practice area/primary emphasis is employment law/benefits:
. Provide employment-related legal advice to Company's Global HR organization and senior management.
. Serve as a subject matter expert within the Company in the area of employment law and as a resource to help resolve complex employment-related issues.
. Oversee employment-related litigation matters including supervision of outside counsel.
. Respond to administrative charges and other government inquiries on employment-related legal matters.
. Assist in ensuring that the Company meets its obligations as a federal government contractor, including the preparation of Affirmative Action Plans.
. Assist Company's HR organization in creating and revising various Company policies, procedures and best practices.
. Conduct due diligence of employment issues in connection with acquisitions and divestitures.
. Assist with the preparation and maintenance of Company's Benefit Plans.

If practice area/primary emphasis is corporate law/M&A:
. Manage Company's general corporate legal activities, including mergers and acquisitions, and provide advice to senior management regarding such activities.
. Serve as a subject matter expert within the Company in the area of corporate law and related activities and as a resource to help resolve complex issues that affect the Company's internal and external relations and business activities.
. Actively participate in all facets of mergers, acquisitions and dispositions of subsidiaries and other tangible and intangible assets including intellectual property assets (due diligence, drafting and negotiation of merger and other acquisition or disposition documents, including license and employment agreements) and manage outside counsel in connection with such activities.
. Work with outside and in-house counsel to prepare and review SEC and other regulatory filings including regular Securities Exchange Act of 1934 filings as well as SEC filings required as a result of merger and acquisition activity.
. Work with the Finance Department, outside counsel, banks and underwriters on public and private offerings of equity, debt and convertible debt including due diligence as well as preparation of disclosure documents, SEC filings and closing documents in connection with such offerings.
. Prepare legal opinions in connection with the transfer of leg ended securities.
. Review of various bank agreements for the Finance Department.
. Prepare, review and negotiate agreements with foreign joint ventures in which the Company owns less than 100% of the equity.

If primary practice area/primary emphasis is supporting a region (North America Sales, EMEA, APJ or Latin America):
. May work across many or all of the areas of primary emphasis described above.
. Act closely with manager in conjunction with CA's subject matter experts/functional teams in a matrix managed environment particularly in areas other than software licensing.
. Serve as a subject matter advisor in relation to local laws and requirements

Key Requirements:

. Juris Doctor from an ABA accredited law school (domestic) or Law degree from an accredited law school (outside the US).
. Bar admission in good standing in at least one state (required domestic) or admitted as an attorney/barrister/solicitor in the relevant jurisdiction and in accordance with local law (international).
. Typically 6 to 8 years comprehensive experience in one of the following substantive legal areas: software licensing, intellectual property, litigation, corporate law/M&A, employment law/benefits.
. Prior experience working with large corporate clients preferred.
. Typically has 2-5 direct reports.
. Typically has a total staff of 2-10.
. Business travel of approximately 10 or less percent yearly is expected for this position.

Skills:

. Typically 7 or more years of comprehensive experience in one of the following substantive legal areas: software licensing, intellectual property, litigation, corporate law/M&A, employment law/benefits.
. Prior experience working with large corporate clients preferred.
